Our 60 years of experience is your advantage

Services

We specialize in proxy solicitation and corporate governance services that enable public companies to communicate successfully with their investors.

  • No two comanies or solicitations are alike. We listen to our clients and develop winning pro-active solicitation campaigns designed to meet their objectives. Our goal is to maximize shareholder voting returns and responses at a reasonable cost.

  • Advantage Proxy is one of the leading proxy solicitation firms in North America and has served as proxy solicitor for well over a thousand SPAC extension and business combination meetings in the last few years alone.

What separates Advantage Proxy from other solicitors is our proactive approach coupled with our level of experience and expertise. We started working on SPAC transaction back in 2006 and were instrumental in establishing the processes back then that are still being followed today. We are proud to continue playing a role in creating new processes today that are necessary as the SPAC market continues to evolve.

We have built a proprietary database of SPAC investors over the last 18 years that gives us an edge on communicating with those investors, securing their votes and identifying redemptions. We have seen every issue a SPAC can face and have a keen insight into SPAC transactions that can only be developed with experience and time.

  • We have cultivated long-term relationships with institutional investors around the world. We maintain a proprietary database of institutional investors and hedge funds that includes portfolio manager and governance team contact information as well as voting guidelines and positions on key proposals. We use this crucial database information to effectively communicate with the institutional investors holding our client’s shares.

We maintain constant vigilance over corporate governance issues and advise our clients of the impact these issues will have on their business.

  • Our shareholder surveys are tailored to your specific needs. We contact domestic and foreign brokers and banks holding our client’s shares to gather the information necessary to complete the types of surveys listed below:

Basic: How many investors are holding shares.

Board Lot: How many investors have shares within a certain range.

Geographic: Where our client’s investors are located and how many shares they are holding in that jurisdiction.

We use our global connections and technology to make the survey process seamless.

  • QuickVote

Advantage Proxy is a participant in the Broadridge QuickVote™ proxy voting service which is a unique telephone vote gathering tool. QuickVote reduces costs for issuers and enables us to immediately capture and submit votes while on the phone with investors. This proven method of solicitation gives our clients a more effective alternative to the standard routine of follow up mailings and multiple phone calls to investors.

    Vote Tabulation

Advantage Proxy provides vote tabulation and certification services for public and private companies. We have decades of experience tabulating votes on proposals ranging from the routine election of directors to proxy contests for corporate control.

    Inspector of Election Service

Certification of election results by an independent authority ensures impartiality. We have thorough knowledge of the proxy process and commonly accepted validation and certification practices. We provide Inspector of Election Services for public and private companies.
